In short. These terms govern your use of this website. The site is informational: it describes what SoftFinity does, and nothing on it is an offer, a warranty, or professional advice.

If we work together, a separate signed agreement governs that work and takes precedence over these terms. See section 5.

1. Acceptance of these terms

These Terms and Conditions ("Terms") are a binding agreement between you and SoftFinity Corp governing your access to and use of www.softfinity.com and its content (the "Site"). Please read them together with our Privacy Notice, which is incorporated by reference.

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

2. Who we are

The Site is operated by SoftFinity Corp, a software consultancy with offices at 4444 Geary Blvd, Suite 202, San Francisco, CA 94118, United States. References to "SoftFinity", "we", "us", and "our" mean that company.

3. Age restriction

The Site is intended for business use by adults. It is not directed to children, and you may not use it if you are under 16 years of age.

4. Permitted use and restrictions

We grant you a limited, revocable, non-exclusive, non-transferable licence to access and view the Site for your own informational and internal business purposes. You may print or download individual pages for that purpose, provided you keep all copyright and proprietary notices intact.

You agree not to:

Use the Site for any unlawful purpose, or in violation of these Terms or any applicable law.
Copy, republish, redistribute, frame, or commercially exploit Site content, or create derivative works from it, without our prior written permission.
Use automated means — robots, scrapers, or harvesters — to access, monitor, or copy the Site, except that operators of public search engines and answer engines may crawl and index the Site consistent with our robots.txt file, which expressly permits such access.
Attempt to gain unauthorised access to the Site, its server, or any connected system, or probe, scan, or test its vulnerability other than by responsibly reporting an issue to us.
Interfere with the Site's operation, including by introducing malware, or by imposing an unreasonable load on our infrastructure.
Reverse engineer, decompile, or disassemble any part of the Site.
Submit anything to us through the Site that is unlawful, infringing, defamatory, or that you lack the right to disclose.
Submit protected health information, patient data, or other sensitive personal information through the contact form or by unencrypted email.

5. Client engagements

These Terms cover the website only. If SoftFinity performs services for you, that work is governed by a separate written agreement — typically a master services agreement, a statement of work, and, where protected health information is involved, a business associate agreement.

Where a signed agreement conflicts with these Terms, the signed agreement controls for that engagement.

Nothing on the Site constitutes an offer capable of acceptance, a commitment to provide services, or a guarantee of any particular result. No engagement begins, and no confidentiality or other duty arises, until a written agreement is signed by both parties.

6. No professional advice

Site content is provided for general information. It is not legal, regulatory, compliance, security, accounting, or medical advice, and it is not a substitute for advice from a qualified professional who knows your circumstances.

In particular, descriptions of our healthcare data practices — including references to HIPAA, business associate arrangements, and data handling — describe how we design and operate our services. They are not legal advice about your own obligations, and they are not a representation that any particular arrangement satisfies your regulatory duties. Nothing on the Site is medical advice, a diagnosis, or a treatment recommendation, and nothing on it should be used to make a clinical decision.

7. Intellectual property

The Site and its content — text, page design, graphics, layout, and code — are owned by SoftFinity or its licensors and are protected by copyright and other intellectual property laws. Except for the limited licence in section 4, no right or licence is granted to you, whether by implication, estoppel, or otherwise.

Certain photographic images on the Site are used under licence from, or are the property of, third parties, and are not licensed to you for any purpose.

8. Trademarks

"SoftFinity", the SoftFinity logo, and our other marks are trademarks of SoftFinity Corp. You may not use them without our prior written permission.

All other product, service, company, and system names referenced on the Site — including McKesson, Experity Health, PointClickCare, MatrixCare, NIKO Health, and SEEK EDI — are the trademarks or registered trademarks of their respective owners.

We reference those names solely to describe the systems our software interoperates with, as permitted nominative use. Such references do not indicate any sponsorship, endorsement, affiliation, partnership, certification, or approval by those owners of SoftFinity or its services, except where a specific relationship is expressly described and only to the extent described.

9. Capability statements

Statements on the Site about our capabilities, integrations, architecture, and security practices describe our services as at the date the page was last updated. Integration status can change, and the availability of any integration for a given customer depends on that customer's environment, the applicable system provider's approval, and the terms of the resulting engagement.

Statements about future plans or expected outcomes are not guarantees. Where you intend to rely on a specific capability, ask us to confirm it in writing for your engagement.

10. Links to other sites

The Site may link to third-party websites. We do not control them, we have not reviewed all of their content, and we are not responsible for their content, accuracy, or practices. A link is not an endorsement. Your use of a linked site is at your own risk and subject to that site's own terms.

11. Copyright complaints

We respect intellectual property rights. If you believe material on the Site infringes your copyright, send a written notice to the contact in section 22 including: identification of the work claimed to be infringed; identification of the material and its location on the Site; your contact details; a statement that you have a good-faith belief the use is not authorised; a statement that the information in the notice is accurate and, under penalty of perjury, that you are authorised to act for the owner; and your physical or electronic signature. We will investigate and respond, and may remove material we believe in good faith to be infringing.

12. Disclaimer of warranties

THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SOFTFINITY DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE OR ITS SERVER IS FREE OF HARMFUL COMPONENTS, OR THAT SITE CONTENT IS ACCURATE, COMPLETE, OR CURRENT.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SOFTFINITY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE — WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS, IF ANY, YOU HAVE PAID SOFTFINITY FOR ACCESS TO THE SITE.

This section does not limit liability that cannot be limited under applicable law, and does not apply to liability arising under a separate signed services agreement, which contains its own liability provisions. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless SoftFinity and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your breach of these Terms, your misuse of the Site, or your violation of any law or the rights of a third party.

15. Geographic scope

SoftFinity operates from California and the Site is directed to users in the United States. We make no representation that the Site or its content is appropriate or available for use in other locations. If you access the Site from elsewhere, you do so on your own initiative and are responsible for complying with local law.

16. Termination

You may stop using the Site at any time. We may suspend or terminate your access to the Site at any time, without notice, including if we believe you have breached these Terms. Sections that by their nature should survive termination — including sections 7, 8, 12, 13, 14, 17, 18, 19, and 21 — will survive.

17. Governing law

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to section 18, you and SoftFinity consent to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California, and waive any objection to venue there.

18. Dispute resolution

Before starting any formal proceeding, you agree to contact us using the details in section 22 and to attempt in good faith to resolve the dispute informally for at least 30 days. If it is not resolved, the parties will consider mediation before litigation.

To the extent permitted by applicable law, each party waives any right to a trial by jury in any proceeding arising out of or relating to these Terms or the Site.

19. Time limit on claims

To the extent permitted by applicable law, any claim arising out of or relating to the Site or these Terms must be brought within one year after the claim arose, or it is permanently barred.

20. Changes to these terms

We may revise these Terms at any time by posting the revised version on this page and updating the date at the top. Changes take effect when posted. Your continued use of the Site after that constitutes acceptance. If you do not agree to a change, stop using the Site.

We may also change, suspend, or discontinue any part of the Site at any time without notice or liability.

21. General terms

Severability. If any provision is held unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions stay in force.
No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
No third-party beneficiaries. These Terms create no rights for anyone other than you and SoftFinity.
Entire agreement. These Terms and the Privacy Notice are the entire agreement between you and SoftFinity regarding the Site, and supersede any prior understanding on that subject. They do not supersede a signed services agreement, which controls as described in section 5.
